Terms of Service

These Terms of Service ("Terms") govern access to and use of the MIWI hospitality and business software platform, website, APIs, mobile or staff interfaces, and related services (collectively, the "Service" or "Platform") provided by the legal entity identified on your subscription invoice, order form, or commercial agreement ("MIWI", "we", "us", or "our").
By creating an account, clicking to accept, completing onboarding, or using the Service, you agree to these Terms on behalf of yourself and the organisation you represent ("Customer", "you", or "your"). If you do not agree, do not use the Service.
These Terms are offered in English. Key pricing and subscription conditions are also disclosed on our pricing page. A Dhivehi summary may be requested at legal@miwi.mv.
Electronic acceptance of these Terms is intended to be valid under the Electronic Transactions Act (Law No. 2/2022) of the Republic of Maldives.
1. The Service
1.1 Description
MIWI is a modular, multi-tenant software platform for hospitality and business operations, which may include property management, reservations, point of sale, inventory, workforce management, finance, channel distribution, and related modules depending on your subscription.
1.2 Changes to the Service
We may improve, modify, or discontinue features from time to time. We will use reasonable efforts to avoid material reduction of core functionality during a paid subscription term without notice, except where required for security, legal compliance, or third-party dependency changes.
1.3 Beta and preview features
Features labelled beta, preview, or experimental are provided as is, may change without notice, and may be less reliable than generally available features.
1.4 Third-party services
The Service may interoperate with third-party products (payment gateways, OTAs, messaging providers, hardware, etc.). We do not control third-party services and are not responsible for their acts or omissions. Your use of third-party services is subject to their terms.
2. Eligibility and accounts
2.1 Authority
You represent that you have authority to bind the Customer organisation to these Terms and that all registration information is accurate and kept current.
2.2 Account security
You are responsible for:
- safeguarding usernames, passwords, API keys, and authentication devices;
- all activity under your accounts except where caused by our failure to maintain reasonable security;
- promptly notifying us of suspected unauthorised access at legal@miwi.mv.
We may require multi-factor authentication or other controls for sensitive actions.
2.3 Tenant isolation
The Service is designed so each Customer's data is logically separated. You must not attempt to access another customer's workspace or data.
2.4 User roles
Administrators may invite users and assign roles (such as owner, admin, manager, or staff). You are responsible for permissions granted within your organisation.
3. Subscription, fees, and payment
3.1 Plans and modules
Your subscription plan, enabled modules, branch limits, and pricing are as shown at checkout, on your invoice, in the Platform, or in a separate order form or statement of work. Module-based pricing may change when you add modules or increase usage entitlements.
3.2 Taxes
Prices are typically quoted exclusive of applicable taxes unless stated otherwise. Goods and Services Tax (GST) and other Maldivian taxes may be added to invoices where required by law (including MIRA requirements). You are responsible for any withholding taxes unless we agree otherwise in writing.
3.3 Billing cycle and prepaid service
Unless otherwise agreed:
- billing may follow a calendar-month cycle with pro-rata charges for mid-cycle changes;
- after any free trial or promotional period, the Service is prepaid for each billing period;
- access continues while your account is in trial or your
paid_until(or equivalent) date is in the future.

3.4 Payment methods
We accept payment by approved online methods (such as card payments processed by our payment partner) and, where offered, manual bank transfer according to invoice instructions. You must pay invoices by the due date shown.
3.5 Late payment and suspension
If payment is not received by the due date, we may:
- send reminders during any grace period stated on the invoice or in-product;
- suspend access to the Service after the grace period;
- charge reasonable recovery costs where permitted by law.
We will not suspend the Service without prior notice except where immediate action is necessary for security, legal compliance, or repeated non-payment.
3.6 Receipts and records
On request, we issue invoices and payment records meeting applicable Maldivian requirements, including GST details where registered.
4. Free trials, cancellation, and refunds
4.1 Free trial
If we offer a free trial, its duration and included modules are stated at signup. At trial end, continued use requires payment unless you cancel before the trial converts to a paid subscription.
4.2 Cancellation by Customer
You may cancel as follows (in line with the Consumer Protection Act (Law No. 12/2020) requirement to clearly specify online cancellation procedures):
- Self-serve: workspace owners or admins may disable auto-renewal or request cancellation through Platform billing settings or by emailing billing@miwi.mv from the registered billing contact.
- Notice: cancellation takes effect at the end of the current prepaid billing period unless otherwise stated in your order form.
- Effect: after cancellation, you will retain access until the end of the paid period (or trial), after which the workspace may be deactivated.
4.3 Refunds
Except where required by applicable law or expressly stated in your order form:
- fees for the current prepaid period are non-refundable once the period has started;
- we do not provide refunds for partial months, unused modules, or voluntary downgrades mid-cycle, though we may offer account credit at our discretion.
If Maldivian consumer-protection law grants you a mandatory cooling-off or refund right for a particular transaction, that right applies to the extent it cannot be validly excluded.
4.4 Data export after cancellation
For a limited period after termination, workspace owners may export Customer Data using available export tools or by written request. After that period, we may delete Customer Data in accordance with our Privacy Policy and backup retention schedules, except where retention is required by law.
5. Acceptable use
You must use the Service only for lawful business purposes and in compliance with these Terms and applicable law (including employment, tourism, tax, and anti-money-laundering rules relevant to your sector).
You must not:
- violate any law or third-party right;
- upload malware or attempt to probe, scan, or breach the Service or related systems;
- interfere with or disrupt the Service or other users;
- send spam or unlawful marketing through integrated channels;
- misrepresent identity or affiliation;
- resell or sublicense the Service except as expressly permitted;
- reverse engineer the Service except where such restriction is prohibited by law;
- use the Service to store or process unlawful content.
We may investigate violations and suspend or terminate access where reasonably necessary.
6. Customer data and privacy
6.1 Ownership
As between the parties, you retain ownership of data, content, and records you or your users submit to the Service ("Customer Data"), including guest profiles, reservations, employee records, and transaction data.
6.2 Our licence
You grant us a limited licence to host, copy, transmit, display, and process Customer Data solely to provide, secure, maintain, and improve the Service, comply with law, and as otherwise instructed by you.
6.3 Privacy Policy
Our collection and use of personal data relating to accounts, billing, and platform operation is described in the Privacy Policy.
6.4 Controller and processor roles
- For account and billing data about your administrators and billing contacts, we generally act as an independent data controller.
- For Customer Data about your guests, employees, and other end users, you are the data controller and we act as your data processor, processing only on your documented instructions as set out in these Terms and the Service configuration.
You are responsible for:
- providing lawful privacy notices to your end users;
- obtaining valid consents and lawful bases under the Personal Data Protection Act;
- ensuring data entered into the Service is accurate and limited to what is necessary.
6.5 Security
We implement reasonable technical and organisational measures as described in the Privacy Policy. You must configure roles, integrations, and devices securely.
6.6 Subprocessors
We may engage subprocessors to provide the Service. We require appropriate data-protection obligations by contract. A list of material subprocessors is available on request at privacy@miwi.mv.
7. Confidentiality
Each party may receive confidential information from the other. The receiving party will:
- use confidential information only to perform under these Terms;
- protect it with at least reasonable care; and
- disclose it only to personnel and advisors with a need to know, subject to confidentiality obligations.
Confidentiality obligations do not apply to information that is public through no fault of the receiving party, independently developed, or rightfully received from a third party.
8. Intellectual property
8.1 MIWI property
We and our licensors own the Service, software, documentation, branding, and all related intellectual property rights. No rights are granted except as expressly stated.
8.2 Feedback
If you provide suggestions or feedback, we may use it without restriction or compensation.
8.3 Customer branding
You grant us permission to display your name and logo as a customer reference unless you opt out in writing.
9. Service levels and support
Unless a separate service-level agreement ("SLA") applies:
- the Service is provided on a commercially reasonable efforts basis;
- planned maintenance will, where practicable, be announced in advance;
- support channels and hours are described in-product or at sales@miwi.mv.
No SLA means no service-credit obligation except as expressly agreed in writing.
10. Warranties and disclaimers
To the fullest extent permitted by Maldivian law:
- the Service is provided "as is" and "as available";
- we disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
- we do not warrant uninterrupted or error-free operation.
Nothing in these Terms excludes warranties that cannot be excluded under the Consumer Protection Act or other mandatory law.
11. Limitation of liability
To the fullest extent permitted by law:
- neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, goodwill, or data, arising from these Terms or the Service; and
- our total aggregate liability arising from the Service in any twelve-month period is limited to the fees paid by you for the Service in that period (or MVR 10,000 if you have not paid fees), except for liability that cannot be limited under applicable law.
These limits apply whether liability arises in contract, tort, negligence, or otherwise.
Consumer Protection Act note: We do not rely on terms that would be unfair to consumers under the Consumer Protection Act (Law No. 12/2020). If you are acquiring the Service wholly for personal, family, or household use (not business use), mandatory consumer rights may apply and some limitations above may not apply to you.
12. Indemnity
You will defend and indemnify us against third-party claims arising from:
- your Customer Data or content;
- your use of the Service in violation of these Terms or law; or
- your failure to provide required notices or obtain lawful bases for processing end-user personal data,
except to the extent caused by our breach of these Terms or negligence.
13. Term and termination
13.1 Term
These Terms begin when you first accept them and continue until your subscription ends or we terminate as permitted below.
13.2 Termination by Customer
You may terminate by cancelling your subscription under Section 4.
13.3 Termination by MIWI
We may suspend or terminate access immediately if you:
- materially breach these Terms and fail to cure within a reasonable period after notice (where cure is possible);
- fail to pay amounts due after grace periods;
- pose a security risk; or
- use the Service unlawfully.
We may discontinue the Service entirely on reasonable notice, in which case we will refund prepaid fees for the unused portion of the final period if we terminate without cause.
13.4 Effect of termination
Upon termination:
- your right to access the Service ends;
- accrued fees remain payable;
- Sections that by nature should survive (including confidentiality, IP, liability limits, indemnity, and governing law) survive.
14. Force majeure
Neither party is liable for delay or failure to perform due to events beyond reasonable control (including natural disasters, utility failures, labour disputes, government actions, or widespread internet outages), provided the affected party uses reasonable efforts to mitigate impact.
15. Governing law and disputes
These Terms are governed by the laws of the Republic of Maldives, without regard to conflict-of-law rules.
The parties will first attempt to resolve disputes in good faith through negotiation. If unresolved within thirty (30) days, either party may refer the dispute to the courts of the Republic of Maldives, which shall have exclusive jurisdiction, except where mandatory consumer law grants you the right to bring proceedings in another forum.
Nothing prevents either party from seeking urgent injunctive relief.
16. General
16.1 Entire agreement
These Terms, together with the Privacy Policy, pricing page, order form, and any executed SLA or data-processing addendum, constitute the entire agreement regarding the Service and supersede prior discussions.
16.2 Order of precedence
If documents conflict: (1) executed order form or SLA; (2) data-processing addendum; (3) these Terms; (4) Privacy Policy.
16.3 Assignment
You may not assign these Terms without our written consent. We may assign to an affiliate or in connection with a merger or sale of assets.
16.4 Severability
If any provision is invalid, the remainder remains in effect.
16.5 No waiver
Failure to enforce a provision is not a waiver.
16.6 Notices
We may send notices to the email address associated with your account or billing contact. Notices to us: legal@miwi.mv.
16.7 Changes to Terms
We may update these Terms by posting a revised version at miwi.mv/terms with an updated date. Material changes will be notified by email or in-product notice where required. Continued use after the effective date constitutes acceptance, except where your explicit consent is required by law or contract.

18. Regulatory references
These Terms are designed to operate consistently with, among others:
- Consumer Protection Act (Law No. 12/2020) — transparent pricing, fair terms, and online cancellation procedures;
- Electronic Transactions Act (Law No. 2/2022) — validity of electronic contracts and records;
- Personal Data Protection Act — data controller and processor obligations;
- Cyber Security Act (Law No. 17/2023) — security of information systems.
Sector-specific obligations (tourism licensing, employment law, MIRA tax reporting, etc.) remain your responsibility when using the Service.
